1. Preamble

These Terms & Conditions (“Terms”) govern the provision of services by ROZEN.MINT Consulting Ltd (“we”, “us”, or “our”) to you (“you” or “the Client”), whether as an individual or on behalf of a business or organisation.

We provide tailored relocation and business-expansion consultancy services, including strategic advice, planning support, and informational packages to assist with relocating to or establishing a presence in the UK. Our services are advisory in nature and do not include physical moving, transportation, or immigration legal services. We may recommend or coordinate third-party providers where appropriate, but we do not endorse or guarantee their performance.

These Terms apply to all engagements, including those initiated digitally via our website, email, or other electronic means. By engaging our services — whether through click-to-accept mechanisms, electronic signatures, or continued use of our website — you confirm your acceptance of these Terms.

Online contracting steps:

  1. Review these Terms.
  2. Click “Accept” or proceed with booking/payment.
  3. Receive confirmation by email. You may correct input errors before final submission.

We encourage you to seek independent legal or professional advice before proceeding. Nothing in these Terms excludes or limits your statutory rights. These Terms comply with applicable UK law, including relevant consumer and e-commerce legislation.

2. Definitions and Interpretation

  • Client – the individual, business, or organisation engaging our Services.
  • Confidential Information – all information disclosed by one party to the other, including business plans, strategies, data, and personal information, whether oral or written.
  • Force Majeure Event – events beyond a party’s reasonable control (e.g. acts of God, war, riot, fire, flood, pandemic, or governmental restrictions).
  • Intellectual Property Rights – copyrights, trademarks, patents, designs, and other intellectual property, registered or unregistered.
  • Services – the consultancy services described in Clause 3 or any agreed proposal, statement of work, or contract.
  • UK GDPR – as defined in section 3(10) of the Data Protection Act 2018.

Headings are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. References to legislation include amendments or re-enactments.

3. Scope of Services

We provide advisory consultancy services focused on relocation and business expansion in the UK, including:

  • Strategic planning and advice;
  • Support with business setup and informational resources;
  • Coordination or recommendations of third-party providers (e.g. logistics, legal, or immigration specialists).

Services are delivered digitally where possible (email, video calls, secure portals) and may include electronic documents.

We do not provide:

  • Physical transportation or moving;
  • Legal advice on immigration, visas, or statutory compliance;
  • Any service not expressly agreed in writing.

Any variation to the Scope must be agreed in writing. For distance contracts, you retain all protections described in these Terms.

4. Client Responsibilities and Representations

You agree to:

  • Provide accurate, complete, and timely information;
  • Co-operate fully and respond promptly;
  • Comply with applicable laws and use the Services lawfully;
  • Confirm you have authority to enter these Terms (if acting for an organisation).

Failure to meet responsibilities may cause delay, additional fees, or termination. We encourage you to seek independent professional advice on any recommendation provided.

5. Refund and Cancellation Policy

All consultancy, advisory, and informational services provided by ROZEN.MINT Consulting Ltd are bespoke and individually tailored to each client’s specific objectives. As such, once any work has commenced — including research, strategic preparation, analysis, or document creation — all fees paid shall be considered non-refundable, in whole or in part, as the value lies in the professional time, expertise, and intellectual input already provided.

Work is deemed to have commenced once any preparatory, analytical, or strategic activity has started following your payment or written instruction.

If the Client wishes to cancel an engagement before work has commenced, written notice must be provided. Where cancellation occurs within fourteen (14) calendar days of initial payment and no work has yet started, any deposit or advance payment will be refunded in full.

Once any preparatory or project work has begun, refunds may be considered entirely at our discretion, taking into account the proportion of services performed, resources allocated, and administrative costs incurred.

This policy is designed to ensure fairness to both parties while recognising the bespoke nature of our consultancy work. It does not affect any statutory rights that may apply under UK law; however, it is acknowledged that the Client enters into this agreement for business purposes, and therefore consumer protection legislation does not apply.

6. Limitation of Liability

Our liability is limited to the fullest extent permitted by law and must be reasonable under the Unfair Contract Terms Act 1977.

We are not liable for:

  • Indirect, consequential, or special loss (e.g. loss of profits, business, data, or goodwill);
  • Loss arising from failure to follow advice or from actions of third parties.

Our total aggregate liability is capped at the fees paid under the relevant engagement. Nothing excludes liability for death, personal injury, fraud, or any liability that cannot lawfully be excluded. For digital services, we are not liable for technical issues beyond our control.

7. Indemnity

You agree to indemnify and hold us harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:

  • Your misuse of our advice or materials;
  • Any breach of these Terms;
  • Inaccurate information you provide.

This indemnity survives termination.

8. Confidentiality and Data Protection

8.1 Definition of Confidential Information

“Confidential Information” means all information (whether written, oral, or electronic) disclosed by one party to the other or obtained by one party in the course of the engagement, including but not limited to business plans, pricing, client lists, trade secrets, technical data, software, methodologies, project proposals, financial information, and personal data.

8.2 Confidentiality

Both parties shall treat all information exchanged in connection with this engagement as strictly confidential and use it solely for fulfilling obligations under this Agreement. Neither party shall disclose, publish, or permit disclosure of any confidential information to any third party without the other’s prior written consent, except where disclosure is required by law or competent authority.

Confidentiality obligations remain in force for five (5) years following completion or termination of the engagement, after which continuing obligations apply only to information that remains commercially sensitive or legally protected.

We maintain a policy of not disclosing the identity of any client or engagement without explicit written consent. If a client voluntarily provides a testimonial or endorsement, it may be published only with express written consent for that specific use.

8.3 Use of Information

We will use your information solely for delivering the Services, managing internal records, fulfilling legal or regulatory obligations, and performing this Agreement. We will not sell or rent your personal or business information to third parties.

8.4 Data Protection – Controller/Processor

We comply with the UK GDPR and Data Protection Act 2018. When acting as a data processor, we will process personal data only per your instructions and these Terms. When acting as a data controller, we ensure a lawful basis exists (e.g. performance of contract or legitimate interests).

8.5 Data Subject Rights

We will respond to any request to access, correct, delete, or transfer your data, or to withdraw consent, in good faith and in accordance with applicable law. Certain requests may not be possible to fulfil where we have overriding legal or regulatory obligations, but we will always act fairly and transparently within the limits of the law.

8.6 International Transfers

We do not intentionally transfer personal data outside the United Kingdom or the European Economic Area (EEA). However, some data may be processed by trusted third-party platforms (for example, cloud or email providers) that operate internationally. Where this occurs, we ensure adequate safeguards are in place — such as UK Government adequacy regulations, Standard Contractual Clauses, or other approved mechanisms — to protect your data to UK standards.

8.7 Security Measures

We implement and maintain appropriate technical and organisational measures, proportionate to the nature and scope of our activities, to protect information against unauthorised or unlawful processing and against accidental loss, destruction, or damage. These include password protection, access controls, encryption, secure storage, and regular system updates. While no system can guarantee absolute security, we take reasonable steps to safeguard information and promptly assess and address any suspected incident in accordance with law.

8.8 Data Retention

We retain data only as long as necessary to fulfil its purpose or meet legal obligations (typically six years for financial records). Once retention is no longer required, data will be securely deleted or anonymised.

8.9 Third-Party Service Providers and Professional Partners

We may engage trusted third parties (digital service providers or professional partners such as legal, immigration, or business-advisory specialists) to support service delivery. All such parties must uphold confidentiality and equivalent data-protection standards, and data will only be shared where necessary and lawful.

8.10 Your Obligations

You confirm you have all necessary rights and consents to allow us to process any personal data you provide and will promptly inform us of any breach or issue affecting such data.

8.11 Breach Notification

If a personal-data breach occurs, we will notify you without undue delay and assist with any required reporting. You must likewise notify us promptly if you become aware of any breach or suspected breach involving (a) data or materials we have shared with you, or (b) confidential information belonging to us. Both parties shall cooperate in good faith to investigate and mitigate the effects of any breach.

9. Termination or Suspension of Services

Either party may end this Agreement at any time by written notice. Upon termination, you must pay for all work completed up to the termination date, and we will deliver any materials produced to that point. We may suspend or end services immediately if payment is overdue or if you materially breach these Terms.

Termination shall not affect any rights or obligations accrued prior to the effective date of termination.

10. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations caused by events beyond reasonable control, including acts of God, war, terrorism, civil unrest, pandemic, natural disaster, power or internet failure, or governmental restrictions (“Force Majeure Event”).

The affected party shall notify the other as soon as reasonably practicable and take reasonable steps to mitigate the effects.

If a Force Majeure Event continues for more than fourteen (14) days, either party may terminate this Agreement by written notice without further liability, except for payment for work already completed.

11. Variation of Terms

We may vary these Terms with 30 days’ notice, provided the updated version is published on our website and notified to clients by email where practicable. Continued use of our Services after the notice period constitutes acceptance. Any variation to a specific engagement must be agreed in writing.

12. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior communications or representations. No reliance is placed on any statement not expressly included herein.

13. Severability

If any provision of these Terms is found invalid or unenforceable, it shall be removed without affecting the validity of the remainder.

14. Dispute Resolution

The parties agree to seek to resolve any disagreement promptly, in good faith, and in a professional and courteous manner before taking formal steps. If a matter cannot be resolved informally within fourteen (14) days of written notice, either party may refer it to mediation or another agreed alternative dispute-resolution method. If mediation fails to achieve settlement, the dispute may be referred to the courts under the Governing Law clause.

15. Assignment

You may not assign, transfer, or otherwise deal with any of your rights or obligations under this Agreement without our prior written consent. We may assign or transfer our rights and obligations only to a successor entity or affiliate, or as part of a merger, restructuring, or sale of our business, provided the assignee agrees to honour these Terms in full. Such assignment shall not reduce or adversely affect your rights.

16. Notices

All notices or communications under this Agreement must be in writing and sent by email to the addresses last notified between the parties. A notice is deemed received at the time of transmission, provided no bounce-back or delivery-failure message is received. Proof of sending constitutes proof of delivery in the absence of evidence to the contrary. Each party must keep its contact email current and notify the other of any changes.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English and Welsh courts.
